PA Satellite Nonprofits and Businesses — Affiliation Template
Replicate useful practice through clear agreements. Decide whether each satellite is an internal program or an independently formed organization before assigning authority.
Choose the relationship
Internal program: [parent entity] retains legal responsibility, funds, governance, and delegated authority; the program is not described as a separate incorporated entity. Independent affiliate: [affiliate] forms and governs itself, with its own accounts and liabilities, and signs a defined affiliation or license. A business is separately owned unless an express lawful ownership arrangement establishes otherwise. The templates below use the independent-affiliate model.
Model affiliation agreement
SA-01 · Parties and scope
[PA network entity] and [affiliate legal name], each formed in [jurisdiction], agree to cooperate on [institutional application, beneficiaries, territory, and services] from [start] to [end]. Identify whether the affiliate is a [nonprofit corporation / business corporation / LLC]. Attach its controlling documents and authorized-signature evidence. This agreement creates only the stated relationship.
SA-02 · Shared standard and local governance
Affiliate shall adopt PA Standard [version], appoint [responsible roles], and maintain Articles, Bylaws or operating agreement, and an adapted Operations Manual. Local directors or owners retain their lawful powers. The network may examine compliance with this agreement but may not appoint or remove local officers, control local accounts, or bind the affiliate unless a valid express provision gives that authority.
SA-03 · Resources and certification
List licensed materials, training, support, marks, fees, and rights in Schedule A. Use a separate licensing agreement where appropriate. Affiliation does not itself constitute certification. Certification authority, assessor independence, scope, expiry, and appeal shall be separately identified. Neither party shall represent the other as a government body or accredited institution without a valid basis.
SA-04 · Money and separation
Each party shall maintain its own budget, accounts, restricted funds, tax records, and obligations. Identify [grant/service/license payment], [amount/formula], [purpose], [reporting], and [return of unused restricted funds]. No affiliate may promise charitable deductibility, collect for another entity, or pledge another’s assets without documented authority. Nonprofit and business transactions shall receive conflict and value review.
SA-05 · Corruption review and conversion
Each party shall maintain an accessible reporting route and independent review. When a concern affects both parties, appoint [unconflicted reviewer] with a defined scope. Preserve evidence and confidentiality, provide notice and response, and prepare a correction and productive development plan with owner, resources, milestones, verification, and appeal. Network reputation alone shall not justify suppressing a concern. The process shall preserve reporting duties and legal remedies.
SA-06 · Reporting and local adaptation
Provide [reporting cycle] reports covering beneficiaries served, examined outcomes, finances relevant to the agreement, complaints, appeals, and improvements. Publish nonconfidential summaries. Record adaptations required by local law, language, accessibility, or institutional practice. No local adaptation may be described as compliant with the shared standard if it removes a material requirement without approved and disclosed treatment.
SA-07 · Pilot, replication, and capacity
Begin with [pilot scope], [resources], [milestones], and [independent evaluation]. Expand only after verifying useful results, staffing, maintenance, and financial sufficiency. Mentor new affiliates through Teams of Three while keeping legal governance and independent assessment distinct. Reserve resources for continued development rather than relying on unverified growth projections.
SA-08 · Exit and continuity
Define notice [period], breach and cure [process], lawful urgent suspension [scope], appeal [body], and termination [conditions]. On exit, reconcile payments, protect participants and restricted funds, cease unauthorized marks, and follow retention and data-transfer rules. The network shall not seize affiliate assets or eliminate local ownership merely because affiliation ends.
SA-09 · Execution and review
Complete applicable governing law, dispute resolution, confidentiality, data protection, insurance, liability, assignment, and renewal terms. Approved by [each party’s body and resolution]. Signed [names/titles], [date]. Review on [date].
