Build institutions that can examine and improve their own governance
A PA Certification Nonprofit can develop public-benefit education, maintain transparent assessment standards, and support institutions as they learn and improve. Independently established businesses can develop commercial applications under defined licenses. Satellite organizations can carry the practice into additional communities and sectors. Government institutions can participate through properly authorized programs and agreements.
The documents below form a coordinated starting set. Each has a different job: the Articles establish purpose and legal structure; the Bylaws establish governance; the Operations Manual specifies the work. The shared PA standard connects them. Agreements define relationships between separate organizations.

California governance review draft
The California PA governance and legal-form review draft (v0.1) compares the selected public-benefit, statutory-voting-member model with unresolved formation, voting, independent-business and affiliation decisions. This is an educational working draft—not adopted bylaws, a filed corporation, legal advice or a functioning voting system.
One standard, distinct responsibilities
All material decisions examine Critical Reasoning, Emotional Acumen, Social Acumen, and Physical Health together. PA develops through practice, evidence, feedback, and examined consequences. Teams of Three rotate Mentor, Scribe, and Referee so each person practices all roles. Learning roles support governance; statutory authority remains with the legally authorized body.
Corruption identification begins with a documented concern. Conversion restores a beneficial purpose and develops a useful replacement practice: preserve evidence, provide independent review and a response opportunity, agree on proportionate correction, support productive development, verify results, and offer appeal. Constructive dissent and failed experiments are not automatically misconduct.
Formation and adoption sequence
- Define the need. Record [institution], [public beneficiaries or customers], [services], [outcomes], and [resources].
- Select the legal path. Choose [jurisdiction] and [nonprofit corporation / business corporation / LLC / agency program]. The nonprofit Articles use a US 501(c)(3) charitable and educational model; other countries or tax classifications require a different adapter.
- Complete the shared standard and governing documents. Resolve membership, authority, voting, financial controls, review, and appeal. Align clause references and attach a dated PA standard.
- Obtain legal and tax review. Confirm filing provisions, exemption strategy where relevant, restricted assets, conflicts, revenue treatment, and institutional requirements.
- Form and adopt. Complete required filings and approvals, then adopt Bylaws or the business operating agreement and the adapted Operations Manual. Record signatures, versions, and effective dates.
- Establish actual operating capacity. Assign qualified staff, unconflicted assessors, resources, records, complaint channels, and an independent appeal route before accepting certification applications.
- Connect and pilot. Sign approved licenses, affiliations, or agency agreements; test useful outcomes and capacity before expanding.

Document hierarchy: applicable law → Articles or other controlling legal instrument → Bylaws or operating agreement → Operations Manual. Agreements must respect that hierarchy and the rights of every separate party. Website revisions do not automatically amend adopted documents.
