Independent For-Profits and Product Licensing
Let commercial development pay for rights to nonprofit-created resources.
Independent organizations
The nonprofit develops educational resources. A separately established for-profit identifies commercial uses and pays for defined rights. It is not a nonprofit division and receives no automatic ownership.

No product offer, license, ownership assignment, nonprofit exemption, payment service or certification authority is activated. Prices, volumes and negotiated deadlines below are fictional planning assumptions. The separately established business owns and runs its commercial operations; the nonprofit develops resources and receives the compensation specified in an actual authorized license.
Connect a useful product to a paying need
A developed page or curriculum specification is source material; it is not automatically a finished saleable product. Confirm the intended user, problem owner, budget holder, purchase mechanism, useful outcome and delivery burden before production. Keep cost, evidence of demand, rights clearance and measured benefit separate. An unmet need with no usable purchaser budget requires a different payer, a bounded funded pilot or a pause.

Maintain a product record: ID/title/version; beneficiary and payer; purchaser authority/budget date; source and rights status; deliverable and accessible format; dependencies; production/delivery/maintenance costs; proposed license/service split; evidence of useful demand; bounded pilot; owner; review and stopping conditions. Tag readiness as source/specification, prototype, rights-cleared pilot, or reviewed release only when that evidence exists.
Establish the rights before negotiating a grant
The current Guidepost rights notice permits personal viewing/reading and reserves other uses except written authorization or applicable legal exceptions. Homepage attribution alone is not permission to copy, adapt or commercialize. This portfolio does not change that notice or grant a public reuse license. Complete a material-specific written permission/assignment/license chain before treating James Dunn’s work as nonprofit-owned or sublicensable.
- Identify every title, edition and component, including illustrations, third-party sources, software, datasets and contributor additions. Retain ownership/permission evidence and conditions. Funding creation, possession of a copy or a webpage does not establish the right to license it.
- Record the actual owner and the licensor’s granted authority. If the nonprofit only has a limited license from James, its business license cannot exceed that authority. A future assignment, contributed work or commissioned work requires its own reviewed documentation; none is executed here.
- Select particular rights: reproduce, distribute, display, perform or adapt, as applicable; formats, copy/seat/site limits, field, territory, language, channels and term. All omitted rights stay reserved. The Copyright Office distinguishes protected expression and owner-authorized uses from statutory exceptions; this agreement design does not claim ownership over underlying ideas or methods.
- Specify whether translations, accessibility changes, abridgments, modified cases, software embeddings, AI-related use or sublicensing are allowed. None is implied by “commercial use.” Distinguish a permitted routine formatting change from an alteration to definitions, evidence or source meaning.
- Attach exact attribution and version notices to the product, identifying the source and who made approved changes. An adapted edition must not claim to be an unchanged original, endorsed by James, or certified merely because it is licensed. Third-party notices remain.
- State ownership of new expression and improvements separately from the underlying work. The business may own its new commercial work while using source expression under license. Define whether the nonprofit receives a license-back to particular improvements, its scope and consideration. Neither improvements nor termination automatically transfer business assets.
Copyright permission, trademark/brand permission, certification-mark use, domain use, access to data, and actual issuing authority are different permissions. A resource license grants none of the others unless expressly and validly listed. A commercial licensee cannot issue or favorably decide its trainees’ credentials merely through paying a royalty. Follow the independent certification review pathway for any real credential process.
Price the rights, services and mission return separately
Compare rights scope, alternative offers, costs to develop/maintain, usable demand, territory, exclusivity, business risk and nonprofit opportunity cost. Evidence can include genuinely comparable offers, a documented limited pilot and independent appraisal where proportionate. A proposed royalty percentage is not evidence of fair value. Unconflicted nonprofit decision makers record the comparison, uncertainties, interested parties’ recusal, approval and review date. A director owning the licensee does not approve their own favorable terms; do not simply label the organizations separate and stop the inquiry.
The IRS states that 501(c)(3) organizations must avoid operation for private interests and insider inurement. Publication 598 describes a royalty exclusion but distinguishes services and identifies exceptions, including relevant controlled-organization and debt-financed arrangements. Separate invoices help trace obligations; labels alone do not determine tax treatment. D1 requires review of the actual parties, activity, control and agreement before a tax conclusion. No exempt status or deductibility is promised for a license payment.

A fictional quarterly calculation
Assume a cleared nonexclusive resource license has a $1,000 nonrecoupable upfront license fee and an 8% quarterly royalty with a $500 quarterly floor. The upfront fee is separate and is not credited against future royalty. For one illustrative quarter, covered invoiced sales including collected sales tax are $20,000; attributable refunds/credits are $1,200; tax actually collected for remittance is $800. The defined royalty base is $20,000 − $1,200 − $800 = $18,000. Earned royalty is $18,000 × 8% = $1,440. Amount due is max($500, $1,440) = $1,440, not $1,940. First-quarter license receipts including upfront are $2,440.
If the same fictional nonprofit separately supplies a defined implementation service for $1,200, total first-quarter cash receipts are $2,440 + $1,200 = $3,640. Assume $900 directly attributable service cost and $600 rights administration/update cost: the illustrative contribution after those costs is $2,140, before other overhead, taxes, reserves and future costs. This is not distributable private income, verified profit, donation income or an adopted allocation. If the service provider is a different entity, its $1,200 is that entity’s receipt; do not attribute it to the nonprofit.
Low-volume case: $4,000 defined base × 8% = $320; the proposed floor makes royalty due $500, subject to the actual negotiated agreement. A business must model its own margins and refund obligations before agreeing. The nonprofit must model maintenance obligations and low-demand risk; a floor is not guaranteed collectible cash.
Bundle example, separate from the quarter above: if agreed stand-alone prices for licensed learning content and supplies are $40 and $60, allocate a $75 bundle as $30 to content and $45 to supplies (40/100 and 60/100 proportions). At 8%, royalty on the $30 content allocation is $2.40 before any allowed deduction. Document actual comparable stand-alone prices or another defensible allocation; do not invent a token content price to divert royalty. Related-party, subscription, advertising and sponsorship revenue require their own explicit allocation before inclusion. A business’s entire revenue is not automatically owed to the nonprofit.
Coordinated schedules for the existing model license
Use these with F-03 / L-01–L-06. They define missing interfaces; they are not a complete signed contract or jurisdiction adapter. No blanks or conflicting alternatives may be represented as executed terms.
Schedule A · Property, permission and commercial scope

Fictional filled design: Proposed PA Learning Nonprofit as intended licensor; Independent Learning Products LLC as licensee; P2 role-card/lesson kit v0.1 as proposed property; nonexclusive English print-kit distribution within an agreed US field for 12 months; no digital redistribution, sublicensing, mark or credential authority. Owner/chain, actual legal identities and jurisdiction remain unverified, so rights status is not granted. Attribution: “Source material: [verified owner], Guidepost.us, [title/version]; approved kit adaptation by [licensee], [date].” Verify the notice before release.
Schedule B · Adaptations, improvements and quality
Permitted format/accessibility/translation changes; approval boundaries; intrinsic-state/PA vocabulary and evidence limitations to preserve; change log and reviewer; adapted-edition attribution; source/derivative ownership; any license-back and its scope/compensation; third-party contributions; correction channel; version migration; support obligations and excluded promises.
Fictional filled design: Allow larger type and an accessible equivalent worksheet only after rights confirmation; changed cases/translation require content review. Business owns its new cleared illustrations, while source rights remain with their owner. Any nonprofit license-back is separately negotiated and recorded. Preserve all role transitions and purposes, uncertainty and every-problem solutions. No claim that purchase measures ethical goodness or validates classroom time savings.
Schedule C · Payment, bundles and cost separation
Currency; upfront amount and whether recoupable; fixed/unit/percentage formula; exact base and permitted deductions; covered channels and territories; bundle/related-party/subscription/media allocation; minimum floor versus additive amount; quarter/calendar; invoice, report and payment dates; tax responsibility; currency conversion source/date; refunds/cancellation; interest/remedies subject to adapter; separate services/donations; pricing evidence/recusal/approval/review.
Fictional filled design: USD; $1,000 nonrecoupable upfront; 8% defined covered sales less attributable refunds and collected/remitted tax; $500 quarterly royalty floor credited against earned royalty, so due is the greater amount. Report/pay within 30 calendar days after quarter end as a proposed negotiated term. No overhead or marketing deductions. Use the worked $18,000 base/$1,440 due; separately list $1,200 service scope and provider. No actual invoice or debt is created.
Schedule D · Reporting, verification and fair review

Fictional filled design: One quarterly statement with SKU/channel totals, invoice references and calculation; annual sample review on 15-calendar-day notice as a proposed term, plus scoped review for a supported discrepancy. Give the independent verifier relevant redacted sales/rights records rather than all customer, patient or student dossiers. Set retention and recovery of audit costs through the actual adapter; no universal threshold is invented. Publish parties, rights field/term, formula, nonprofit return, conflicts/recusal and correction summary within adopted governance rules.
Schedule E · Complaints, cure, suspension and exit
Product-service complaint route versus independent credential route; evidence preservation and notice/response; defect and alternatives; cure owner/resources/milestones; urgent restricted-use action and scope; independent contract review; governing law/remedies; termination and final reporting/payment; customer continuity/refunds; source copies/marks/data access; retention holds; verified exit and no automatic ownership transfer.
Fictional filled design: Proposed ordinary cure is 30 calendar days after confirmed notice; serious rights or practical safety issues use a separately reviewed proportionate immediate restriction where lawful. Stop new production/sales at termination unless an express approved stock/customer arrangement allows it. No automatic sell-off permission. Preserve permitted customer use under their actual terms; reconcile lawful recall/refund obligations, final royalty and authorized copies. A proposed 60-day stock period is an option to negotiate, not granted here. Business product complaints are not decided through purchase of favorable PA certification.
Schedule F · Renewal, field expansion and sustainable resources
Review before term end; customer need/outcomes; payment accuracy; complaints/corrections; rights/versions; maintenance/access and business margins; nonprofit mission return; changed ownership/control; proposed new field/language/channel; price and rights amendments; transition/funding; renewal decision authority; owner and next independent review.
Fictional filled design: Review 60 calendar days before the proposed 12-month term ends. Expansion from a teacher kit to another industry requires a new field/component schedule, rights and domain review, useful-demand evidence and funded support. Existing local staff/owner knowledge informs a bounded pilot, without controlling independent review. Renewal of a commercial license is separate from the canonical A4 credential term/renewal process.
Schedule G · Rights and launch approval record
Actual legal identities/form; signatory authority; nonprofit owns or can license every listed component; written James/third-party permissions where needed; approved adaptation/attribution; fair-return evidence; conflicts and recusal; legal/tax/jurisdiction review; funded production/maintenance/customer support; accessible output; completed pricing/report/audit/exit/renewal terms; separate brand/data/certification permissions; approved source/version register; authorized delivery and signatures/date.
Current disposition: Proposed only. There is no verified nonprofit licensor, issued commercial permission, completed transaction adapter, signed license, active PA checkout or delivery system in this work unit. Missing rights/authority block commercial release; they do not block review of this design. D1/D2/D3 and actual parties resolve these gates before execution.
Keep useful quality, truthful claims and review connected
Quality review checks the licensed expression, approved scope and user usefulness without taking over the independent business. Preserve the four intrinsic dimensions within every loop state, the project scalar definitions, all Mentor → Scribe → Referee → Mentor transition purposes, nonverbal uncertainty, accessible participation and solutions/justified indeterminacy. Evaluate task accuracy, usability, actual workload and intended audience; do not require political agreement or diagnose people from demeanor.
Trace a problem through source/version → observed defect → alternative explanations → user response → supported correction → independent verification → revised release. A disputed report is a concern, not a finding. Product correction, contractual breach, nonprofit governance review and credential appeal have different owners and authority. Link related evidence, but do not let a business contract remove independent applicant appeals or change adopted governing documents.
A planned update does not automatically amend existing customer licenses. Record migration/acceptance and the support needed; preserve the original edition and approved changes. Exit requires final accounts, rights/brand cleanup, legitimate customer continuity and verifiable correction. It does not seize the business, turn it into a nonprofit division or guarantee unrestricted continuing use of source content.
Convert receipts into sustained capability
Before allocating receipts, fund the obligations that earned them: rights stewardship, accurate updates, customer support, independent review, access and maintenance. Then evaluate reserves and new development against actual need and available authority. The $2,140 worked contribution cannot all be promised simultaneously to scholarships, software and reserves. Restricted grants/donations keep their own conditions; license money and charitable gifts are separately recorded.
For each proposed branch record an intrinsic four-dimensional pathway: Critical Reasoning examines demand, prices and evidence; Emotional Acumen examines how conveyed appreciation/disdain and uncertainty affect contribution; Social Acumen examines purchaser/beneficiary interests and fair access; Physical Health examines usable time, materials, fatigue and accessibility. They interact throughout negotiation, delivery, feedback and revision, rather than becoming four separate approval phases. The business controls its commercial resources; the nonprofit must verify actual access to its own staffing and revenue before expanding.
Repeat only where a bounded pilot shows useful capability with realistic demand, quality, funded maintenance and independent checks. Retain null/negative outcomes, displaced work and costs. B3 will develop the Capability Ledger, Underutilized Resource Register, access/control map, pilot and reinvestment cycle. A high gross-sales figure or a licensed title is not evidence of sustained benefit.

Licensed resources may support books, pamphlets, kits, courses, software, social media, services, and other-industry applications. The for-profit develops them under the agreement and carries commercial responsibilities.
Visible agreements
Describe products, ownership, permitted uses, channels, payment, reporting, review, renewal, and breach consequences. Members should be able to examine what the nonprofit receives and the rights granted.
Continued development
Licensing returns can support maintenance, new materials, and additional resources. Review needs served and whether the return reflects the rights and resources involved. The podiatry proposal supplies the detailed worked example.
